Job Description

Assist the personnel of the Legal department in the various aspects of legal issues affecting the company. In office Tuesdays, Thursdays, and third weekday of the employee's choosing, with option to work remotely the other two weekdays.

Job Duties and Responsibilities:

  • Corporate Governance Support - Support the corporate attorneys in the following duties:
    • Maintaining corporate records and minute books of company and its subsidiaries, including drafting and preparing documentation relating to formation, dissolution, and merger of such entities
    • Coordinating with company's registered agent to ensure corporate entities meet all statutory requirements and maintain good standing in various jurisdictions
    • Maintaining organizational charts and information related to company's officers, directors, and committees
    • Drafting consents, resolutions, and officer certificates in connection with transactions and other organizational actions
    • Drafting and maintaining powers of attorney and delegations of authority authorized by company
    • Assisting with closings of transactional matters, including mergers, acquisitions, and real estate purchases and sales
    • Assisting various subsidiaries, business units, and departments with research and information gathering requests
  • General Transactional Support - Support a variety of transactional matters by reviewing, drafting, and negotiating various contracts and documents, as well as providing other general transactional support needed. Provide paralegal assistance to attorneys that support the commercial sales, logistics, fleet, and real estate departments. Experience in these specific areas is not required although any such experience in some or all of these categories would be beneficial
    • Commercial Sales - Reviewing, drafting, and revising various commercial contracts and documents using the company's templates, such as supply agreements, distribution agreements, co-packing agreements, product guaranties, and indemnity agreements. Assisting with all aspects of product sales to state and federal governmental entities in connection with RFPs, bids, and other forms of sales transactions
    • Logistics and Fleet - Reviewing, drafting, and revising various logistics and fleet contracts and documents using the company's templates, such as shipper-carrier agreements, trailer interchange agreements, warehouse agreements, broker agreements, master services agreements, hauling agreements, equipment leases, fuel purchase agreements, and powers of attorney
    • Real Estate - Reviewing, drafting, and revising various real estate contracts and documents in connection with the acquisition, disposition, and leasing of the company's real property assets
  • General Contract Administration Support - Support the transactional attorneys in the following duties:
    • Managing contract templates both in terms of updating existing ones and creating new ones
    • Assisting in implementation of a contract database
  • Assisting with the development of evolving contracting strategies and processes
  • The requirements herein are intended to describe the general nature and level of work performed by employee, but is not a complete list of responsibilities, duties, and skills required. Other duties may be assigned as required.

Minimum Qualifications:

Education and Experience

  • Paralegal degree or certification required; Bachelor's degree strongly preferred
  • 5 years of paralegal experience in corporate governance matters and working on contracts or transactions either in a law firm or corporate legal department
  • Experience with reviewing, editing, and drafting a variety of agreements and legal documents
  • Knowledge of CSC corporate governance management system a plus
  • Knowledge of SAM.gov and other governmental systems a plus

Knowledge, Skills and Abilities

  • Ability to prioritize and be responsible for multiple projects/deadlines concurrently
  • Ability to solve practical problems comprised of multiple variables
  • Ability to analyze information, materials, documents, and reports in conjunction with legal matters
  • Ability to effectively present information and respond to questions from attorneys, employees, customers, members, and the public
  • Ability to work in a team-oriented environment and to work independently with minimum supervision
  • Ability to communicate effectively in person, in writing, and via telephone or video
  • Ability to conduct routine and specific legal and factual information research and data compilation, as directed by attorneys using Westlaw and other internet-based systems as well as general internet searches
  • Ability to interact positively and work effectively with others (interpersonal skills)
  • Ability to work with accuracy and thoroughness in completion of duties
  • Proficient in Microsoft Word, Excel, PowerPoint, Workshare Compare, and Westlaw
  • Must be able to read, write, and speak English
